Stock Splits Have Made Headlines This Year

Stock Splits Have Made Headlines This Year, But What Exactly Are They?

It seems that the second half of 2020 has been a popular time for large corporations to announce stock splits – including companies like Apple, Tesla and McCormick. This can be great news for eager investors looking to add these market titans to their portfolio, but who may have not been able to in the past.

Below is a brief primer on stock splits, and what they mean for potential investors, current investors and the companies themselves.

What Are Stock Splits?

Simply put, a stock split occurs when a company decides to split its current shares into more shares. This does not affect the total value of an investors’ shares, it simply creates more of them. For instance, if one share at $100 was split into two shares, each share would be worth $50 – still equaling $100 total.

The Math Behind Stock Splits

Think about a pizza (stick with us here). Say you have a normal, large pepperoni pizza with eight slices. Each of these slices makes up a share of a company. If that company decides to do a stock split, that means that each slice of pizza will be further divided.

If two of those slices are yours and a 2-for-1 stock split is announced, those two slices will be split into 4 smaller total slices. The actual amount of pizza that’s yours has not changed, it’s simply been divided up even further. This allows less-hungry investors to grab a smaller slice of pizza, whereas before they’d have to take a whole slice if they wanted in on the pizza.

Stock splits can occur in a number of different ways: 2-for-1, 3-for-1 and 3-for-2. While the math can feel complicated, the stock split ratios are fairly self-explanatory:

2-for-1: If you owned one share before the split, now you own two.

3-for-1: If you owned one share before the split, now you own three.

3-for-2: For every two shares you owned before the split, you now own three.

Who Benefits From Stock Splits?

New Investors

Stock splits can be an appealing investment option for those who typically have smaller capital to invest with. They make it possible for interested investors to buy stocks from popular companies whose stock values have skyrocketed over time. You may not have been able to invest in a company whose stock prices sit at around $600 per share, but when the stock is split and you can obtain a few at, say, $100 a share – this may become more doable.

Current Investors

The amount of shares you own will increase, but their worth will decrease proportionately – meaning a stock split will not affect your the total value of your current holdings. For example, if you owned one share that was worth $200 and a 2-for-1 stock split occurs, you now own two shares worth $100 each- for a total value of $200.

However, stock splits have the potential to be good news for current investors – as it indicates the company is opening the door for new investors, meaning it could be a push that drives the stock prices up. This, of course, is not guaranteed, but the potential is there for current investors to get excited.

Publicly-Traded Companies

And, of course, the company that decides to split their stocks has done so because they find it’ll likely be beneficial for their company. Here’s why:

As a company grows, releases new products and continues to profit, its stock values rise. And while this is good news for investors and the company alike, it’s possible that high stock prices begin to have a negative impact on the company’s market liquidity. Stock prices that grow too high become less-attainable for the everyday investor, meaning less people are choosing to invest in that company.

That’s why stock splits can be appealing for companies, because they allow more investors to buy shares at more affordable prices. Additionally, the announcement of a stock split can often cause excitement amongst new potential investors, drumming up interest and (potentially) boosting stock values. A recent NASDAQ report indicated that simply announcing a large cap stock split increased stock value by 2.5 percent.1

Stock splits can be an exciting opportunity that makes pricey stock shares more attainable for the everyday investor. If you’re considering adding stock splits to your portfolio, make sure to check in with your investment advisor first. He or she can help you determine whether this may be a beneficial, long-term move toward your larger financial goals.

You’re a Woman, a Mother and a Business Professional. Our 9 Tips For Optimizing a Work-Life Balance in the Era of COVID

0

The COVID-19 pandemic turned the world upside down as millions around the world fell sick, countless jobs were lost and all of us felt trapped in a state of uncertainty. Schools became virtual and those who didn’t lose their jobs suddenly had to work from home – somehow balancing family life, virtual schooling and work. It’s been difficult for everyone, but for mothers especially, how do you balance your family responsibilities while working? We’ve rounded up our nine tips to help make the balance a little easier.

Tip #1: Determine Your Priorities

Make a list of your priorities and stick to them. Determine what tasks need to be accomplished and when. Make note of upcoming meetings or deadlines in a way that can help you keep track of your upcoming responsibilities. If you tend to lose track of time, it could be helpful to set calendar reminders on your phone alerting you to these things.

Tip #2: Optimize Your Workspace

Assuming you’re working remotely, it’s tough to separate your work life and your home life. Creating a dedicated office space can help make this separation clearer while optimizing your productivity during the workweek. Utilizing a room with a door that can close shut during work hours can be useful for letting your family know when you will be on calls or interruptions need to be minimized.

Some ways to optimize your space include:

  • Checking that your WiFi connection is strong
  • Having a desk with a comfortable chair
  • Personalizing it with pictures, a plant, good lighting, etc.
  • Ensuring it’s quiet and ideal for virtual meetings or conference calls

Tip #3: Stagger Your Schedules

Staggering your schedules doesn’t leave much room for downtime with your partner, but it could be the short-term solution as you balance working from home and caring for young children (especially if your child is learning from home as well).

If you can, try waking up at different times in the morning to better work around your child’s schedule. Maybe you can wake up early and finish up any to-do items that you have due that day and then your partner can sleep in late. Then, you can go to bed earlier while your partner works later into the night. It is not ideal, but it allows you and your partner to get work finished while also catering to the needs of your children.

Tip #4: Maintain Some Structure

While there are going to be interruptions, try to maintain structure in your daily schedule. When it comes to your family’s schedule, sometimes keeping it simple is best. If you can, try to keep the same routine week-by-week or day-by-day, as this can help you, your partner and your children feel comfortable and organized even when things are uncertain around you.

Remember to stop working once the day is over, as many people have found themselves working overtime since they never really leave the office.

Tip #5: Delegate Where You Can

If you are a team leader or manager, consider whether there might be some things you can take off your plate and delegate to others. While it can be difficult to let things go, doing so is important for the sake of balance. If there are tasks someone else on your team can handle, don’t be afraid to ask for help or assign them out.

Tip #6: Communicate With Your Team

Communication is more important than ever as we work from home. If you are not currently seeing your team in person, check-in more often with one-on-one meetings at least every two weeks. Have a team meeting at least once a week either to start the week or end it, depending on everyone’s schedule. Additionally, you can schedule a team-wide “virtual happy hour” or “virtual team-building” once a month. It’s important to keep morale high and your team motivated during these times.

Tip #7: Learn From Your Mistakes

Your day is rarely going to go as planned, especially when you are juggling family life with a full-time career. If something goes awry, it’s okay to accept your mistakes, move on and figure out what you did wrong so that it does not happen again.

Did your child forget to turn in an assignment? It’s going to happen from time-to-time. Thankfully, most teachers realize the strain that many parents are feeling.

Tip #8: Learn to Say ‘No’

You can’t do it all. And while it’s hard for many to say no, there are times when you just have to. This goes hand-in-hand with having the ability to delegate. Rushing to complete an assignment or cutting corners to meet a deadline won’t do anybody any favors.

Also, as much as you would love to attend that playdate with another mom but it’s adding more stress than it is worth, it’s okay to say no sometimes or reschedule. There is a fine line to balance when it comes to managing your daily household routine, your children’s schedule and work life.

Tip #9: Say Goodbye to Perfection (Where You Can)

If you are spending a lot of time working, you may feel as though you are not giving enough to your family. If your children need extra attention, then you may feel that your job is starting to suffer. Understand that now is not the time to be perfect, and it’s okay to cut yourself some slack. If you burn both ends for too long, the long-term damage could be even greater.

We know it’s a balancing act and some days you are going to feel as though you can’t get your head above water, while other days you feel as though you have it all together. These tips should help as we continue to navigate this new normal.

Restructuring Debt as a Business Strategy

0

Many businesses are facing the financial effects of the Covid-19 pandemic. The loss of clients and decreased cash flow have forced businesses to make some hard choices that involve restructuring debt either in- or outside of bankruptcy or simply closing the doors.

Key Considerations

The first task for company leaders is leaving their emotions aside as they assess the likelihood of the company succeeding after restructuring. Among the factors to be considered are the following:

  • How much of the company’s expenses go to fixed expenses like rent and equipment leases?
  • How much goes to payroll?
  • What does the company’s cash flow look like? Is it positive or negative? How likely is it to improve?
  • Is the company still competitive in its market? What are the chances of increased market share?
  • How much does the company need to spend on new technology to remain viable?
  • What cuts can be made and how will those cuts affect business operations? What are the related costs?
  • What is the cost of restructuring the business? Weigh that cost against the chances of the company succeeding in the future.

To make a good decision, managers need to look at the situation dispassionately. No business ever wants to be in this position, but unfortunately, the Covid-19 pandemic has made some fundamental changes to how businesses operate.

Creditors

Once a decision is made to restructure, company leaders need to deal with creditors. If the debt can be renegotiated, the company may not have to file for bankruptcy. Many restaurants, for example, have not been able to pay their rent. If these businesses conclude they can get back to profitability, they may be able to negotiate with their landlords to pay partial rent for a set amount of time. This can be a win-win situation. The restaurant may be able to continue operating and the landlord can keep its tenant.

Debt Consolidation

Contingent on the results of their assessment of the business’s finances and future outlook, some businesses may be able to restructure their debt by taking out a new loan to pay off a single debt at a lower interest rate. Alternatively, the business may be able to obtain a business consolidation loan that will allow it to pay several debts with one monthly payment and a single set of repayment terms.

Bankruptcy

If the business determines the best option is to restructure under bankruptcy, it needs to get professional advice. Most businesses file under Chapter 11. The Small Business Reorganization Act of 2019 also created Subchapter V of Chapter 11 of the Bankruptcy Code, which became effective on February 19, 2020 — just about when the pandemic hit the United States.

Originally, Subchapter V applied to small business debtors with no more than $2,725,625 in debt. The CARES Act expanded Subchapter V eligibility for a period of one year (or longer if extended by Congress) by increasing the cap to $7,500,000 in aggregate secured and unsecured noncontingent and liquidated debt. Subchapter V is more debtor-friendly than Chapter 11. Businesses looking at this option should verify eligibility.

Before making any decision, business leaders need to consult professionals who can guide them in the decision-making process. Too much is at stake to tackle this decision without help. Contact us today for sound advice.

By the Numbers: The Key Adjustments for 2021

0

What will 2021 bring us? After a year of turmoil and surprises, no one has a clear crystal ball. But there are some certainties, and one is that the federal government is changing a variety of numbers affecting the finances of businesses and individuals.

First, any individual or business that received government funds this year should keep that in mind and have records on hand. This includes unemployment benefits and Paycheck Protection Program funds. The taxable situation for these can be complicated, so be sure to discuss them with us before the end of the year.

Meanwhile, here are the big changes for 2021.

Affordable Care Act “affordability” percentage

Per IRS Revenue Procedure 2020-36, the ACA “affordability” percentage for 2021 is 9.83%, increasing slightly from 9.78% in 2020.

This means that, for 2021, employers subject to the ACA cannot charge employees more than 9.83% (of their household income) for the least-expensive self-only health insurance plan.

Employers may use one or more of these three IRS safe harbor methods to determine employees’ household income:

  • The employee’s Form W-2 Box 1 wages.
  • The employee’s hourly rate of pay multiplied by 130 hours, or the employee’s monthly salary.
  • The federal poverty level for a household of one.

These safe harbors can be used only for the purpose of calculating ACA affordability.

ACA reporting

IRS Notice 2020-76 extends the deadline for employers to furnish ACA Form 1095-C or Form 1095-B to employees — it is changing from Jan. 31, 2021, to March 2, 2021. The notice also extends the IRS’ good-faith effort relief for plan year 2020 reporting.

Under the good-faith effort relief, employers will not be penalized for submitting incomplete or inaccurate ACA forms if they can “show that they made good-faith efforts to comply with the information-reporting requirements.”

The deadlines for filing Form 1095-C and Form 1095-B with the IRS remain the same: Feb. 28, if filing by paper, and March 31, if filing electronically.

Social Security wage base

The Social Security Administration announced that the Social Security taxable wage base for 2021 is $142,800, jumping from $137,700 in 2020. The employee’s and the employer’s Social Security tax rates remain at 6.2%.

The Medicare tax rate for 2021 is still 1.45% of all taxable wages, for both the employer and the employee.

Employees earning more than $200,000 for the year are still subject to an additional Medicare tax of 0.9%.

Health savings accounts and high-deductible health plans

Health flexible spending accounts

This limit has not changed; $2,750 remains the limit for health care flexible spending accounts. However, the maximum carryover amount for 2021 has gone up to $550, an increase of $50.

Qualified commuter benefits

The contribution limit for pretax commuter benefits is $270 — the same as in 2020. This is the maximum pretax amount that employees can set aside to pay for public transportation, ridesharing, vanpooling and parking expenses.

401(k) contributions

Here are the 2021 contribution limits for 401(k) plans:

  • Maximum employee contribution: unchanged at $19,500.
  • Catch-up contribution for employees ages 50 and over: unchanged at $6,500.
  • Maximum employee + employer contribution, excluding catch-up: $58,000.

Other inflation adjustments

The standard deduction for married couples filing jointly for tax year 2021 rises to $25,100, up $300 from 2020. For single taxpayers and married individuals filing separately, the standard deduction rises to $12,550 for 2021, up $150, and for heads of households, the standard deduction will be $18,800 for tax year 2021, up $150.

For tax year 2021, the tax brackets and their limits are as follows:

  • 37% for incomes over $523,600 ($628,300 married filing jointly).
  • 35% for incomes over $209,425 ($418,850 married filing jointly).
  • 32% for incomes over $164,925 ($329,850 married filing jointly).
  • 24% for incomes over $86,375 ($172,750 married filing jointly).
  • 22% for incomes over $40,525 ($81,050 married filing jointly).
  • 12% for incomes over $9,950 ($19,900 married filing jointly).
  • 10% for incomes for incomes of $9,950 or less ($19,900 married filing jointly).

The bottom line? It’s been a complicated year. Touch base with financial professionals before the end of the year to make sure you’re on track for any adjustments.

Covid-19 researcher’s success creates medical world sensation – discovery of new Corona Virus function

0

Experts all over the world have been puzzling over this for the last few months, how the corona virus works in the body. The researcher, Sandro Zumpe, is now the first in the world to have succeeded in deciphering the hitherto unknown function of the virus and its path in the body.

The virus behaves differently than expected when entering the body Until now, it was assumed that the main entry point into the human body was predominantly through the ACE receptors, but this is unfortunately incorrect.

The virus uses a kind of “oscillation unsporation” to enter host cells, which enables it to enter the cell at many different places.

Once there, it mercilessly exploits its biological advantage and inflates the cell in all directions due to existing ones. The result is squid-like tentacles (filopodia), which grab and infect the surrounding cells. The resulting speed of the cell influence, provides already once for the first “Knock Down” of the body. The formation of these “filopodia” has already been confirmed in a scientific publication of the University of California (Cell Journal), but could not be explained until today.

Oscillation! One of the main weapons of the corona virus

It carries these in the nucleocapsid, which simultaneously strengthens its lipid outer shell and makes it more difficult to drive. This also makes it possible for it to remain in the air longer as a virion, or to stay on surfaces. The result is an extended range of possible infections. A further advantage of this is an extremely fast mutation of the entire genome or individual components such as S-protein or N-protein. Accessory proteins are thus also modified on their own, for example in the form of an extension (ORF 3 protein), changes in ORF 9B, ORF 14 protein and others.

Disruption of important protein functions and RNA transport pathways

A study of the Science magazine, shows that the virus blocks the protein function of ribosomes. This is done by its own protein called Nsp1. A blocking of the entrance is also associated with this. Sandro Zumpe could further find out that the protein synthesis is put out of action by disturbance of the TOM-complex and thus also a negative influence on the mRNA transport into the mitochondria takes place. This also leads to problems of mitochondrial tRNA import and the associated damage to mitochondrial protein synthesis. The consequences of this are protracted fatigue symptoms, most of which are reported by former Covid-19 patients.

Damage to mitochondrial long-term effects

An infection with the corona virus should be taken very seriously, since it permanently destroys the mitochondria, their cytochrome oxidase and ATP production damages. Here it comes to a deformation of these and consequences, in the form of exhaustion and heaviness.

Manipulation of the virus of important metabolic pathways

The researcher also discovered that the corona virus, AMPK and mTOR, which are among the most important metabolic regulators, also specifically influences the associated coactivator PGC-1alpha (main regulator of mitochondrial biogenesis).

AMPK (5-adenosine monophosphate-activated protein kinase) is an endogenous enzyme with an important role in the energy metabolism of humans. It is involved in oxygen regulation and is regulated by AMP and ATP levels. AMP is able to suppress taste, which explains the loss of taste and olfactory irritation in many Covid-19 patients. Also the PGC-1alpha mentioned before is able to suppress taste and smell by influencing the glial cells.

The virus is also capable of rapidly reducing the production of ATP, resulting in a massive “cytokine storm”, which is feared in Covid-19.

It also negatively reduces the mitochondrial function of leukocytes and thus their ability to defend themselves against pathogens.

Immune reaction as one of the greatest puzzles

In the last months, ever more studies, which the researcher Sandro Zumpe, already found out some time ago, occupied the importance of T cell and B cell reactions with an immune response and accompanying immune memory.

He also found out that also their memory cells play an immense role in contributing to a long-lasting immunization level. In current research, he has now succeeded in clarifying the key to an immune status that will last for many years. The NK-cells are crucial for this and the immunological Missing-self-hypothesis and was found. Here, a connection between the lymphocytes involved, the mitochondrial function of the leukocytes and a summary cytokine storm was found. NK cells kill other target cells if they do not have a signal molecule on their surface. To do this, they send perforin and cranzymes that induce apoptosis (cell death).

The virus skilfully masks the NK cells and uses them against one’s own body and also prevents a long-lasting immune status can arise opposite them.

The virus inserts its genetic material as an RNA sponge into the gene regulation

The University of Alabama and a publication in the Lung Cellular and Molecular Physiology, could show that the virus sucks off signal molecules, by which damaged cells destroy themselves.

Furthermore, his genetic material acts as a so-called RNA sponge, which intercepts important miRNA and thus opens up the possibility for him to intervene specifically in the gene regulation of the body. Sandro Zumpe found out, however, that by the fact of binding of miRNA to mRNA, of course this can be specifically regulated by the virus and with it important transport routes.

In addition, he also succeeded in finding out that here, too, the absorption of miRNA by incRNA and its mediated gene regulation. He also found out the corresponding relationship and involved interaction of XIST (female specific incRNA) and miRNA.

SARS-COV-2: Reproduction rate is much higher than in other viruses

Due to its specific nature, the virus is able to stop and go Principle of protein production in the cell, through involved, kinase R and phosphatase 1 to accelerate. This is required for the cell to reproduce itself. As a result, it replicates much faster.
