The SBA EIDL and PPP Loans and Their Tax Implications

Among the many relief provisions passed by Congress in recent days are loans focused on small businesses. This isn’t entirely new to the SBA, which has long been in the loan business, but recently passed laws supercharged the offerings. As with so many government programs, however, the devil is in the details. Below are some specifics, and you should review the details carefully before proceeding.

Even before the current crisis, the SBA offered the Economic Injury Disaster Loan (EIDL) program, which is still available. A newer offering the Paycheck Protection Program loan program, should be available in the coming days. Some businesses may want to wait for it to be available; others may want to apply for the EIDL program now and possibly refinance it into their PPP loan later.

Below are comparisons between the two loan programs. Note that a lot of tweaking still is going on, so details may change in the coming days.

Terms of the loan

EIDL:

  • Maximum loan amount is $2 million, with an immediate advance of up to $10,000 from the SBA.
  • The interest rate is 3.75% for businesses and 2.75% for nonprofits.
  • Repayment begins one year after the loan origination date and interest is accrued during the deferment.
  • The term of the loan cannot exceed 30 years.
  • Loans are made directly by the SBA.
  • The loan may not be forgiven.

PPP:

  • Maximum loan amount is $10 million and calculated according to a formula.
  • The interest rate initially was to be a maximum of 4%, but recent SBA guidance says it has now been set at 1%.
  • Repayment begins at least six months after the loan origination date and interest is accrued during the deferment.
  • The term of the loan cannot exceed 10 years.
  • If you received an EIDL, you may be able to refinance it into your PPP loan.
  • Loans will be made by SBA-approved lenders and underwritten by the SBA. All existing SBA-certified lenders will be given delegated authority to speedily process PPP loans. Check if your local bank is approved and ready to accept applications.
  • The loan may be forgiven, but the forgiveness amount is calculated according to a complex formula.

Collateral and personal guarantees

EIDL:

  • Collateral: The SBA will place a Uniform Commercial Code lien against the assets of the business.
  • Personal guarantee: For loans greater than $200,000, owners of more than 20% of the business have to provide personal guarantees. However, no liens will be taken against real estate owned by the guarantor.
  • Recent legislation removed the requirements that the borrower (1) not be able to secure credit elsewhere or (2) must have been in business for at least one year, as long as the business was in operation on Jan. 31, 2020.

PPP:

  • Collateral: not required.
  • Personal guarantees: not required.

Permitted uses of loan proceeds

EIDL:

  • Financial obligations and operating expenses that could have been met had the disaster not occurred.

PPP:

  • Payroll costs, group health care benefits, insurance premiums, interest on mortgages or other debt incurred prior to Feb. 15, rent on any lease in force prior to Feb. 15, 2020 and utility payments.
  • For PPP purposes, payroll costs include salaries, commissions and tips; certain employee benefits (including health insurance and retirement benefits); and certain types of compensation to sole proprietors or independent contractors.
  • Certain payroll costs are specifically excluded from the PPP, including compensation of an individual employee in excess of an annual salary of $100,000, foreign employees, and FICA and income tax withholdings.

There are other provisions and limits as well. Consult the latest official guidance for full details.
 

Some Tax Implications

The Coronavirus Aid, Relief, and Economic Security Act grants a payroll tax credit for employment taxes owed by certain eligible employers that were especially impacted. Typically, these include but are not limited to businesses that had to close because of COVID-19.

Also, employers may be able to defer the employer portion of any Social Security taxes for the period beginning on March 27, 2020, and ending before Jan. 1, 2021. Half of the employer portion of any Social Security taxes for the payroll tax deferral period can be deferred until Dec. 31, 2021. The second half can be deferred until Dec. 21, 2022.

Would-be borrowers have a lot to consider. A key point is that any borrower who gets a PPP loan forgiven can’t claim a payroll tax credit or deferral of payroll tax also offered under the CARES Act. So it is important to consider the benefits offered under each of these options in the process.

Roth Conversions: What You Need to Know

When opening a retirement savings account, you’re typically presented with the option of choosing between a traditional or Roth IRA. While you may have stuck with a traditional IRA for the initial tax savings, it’s possible you could change your mind and opt for tax-free retirement income instead. Making this switch is called a Roth conversion. Should you consider taking advantage of this opportunity, or are you better off sticking to your current savings strategy? We’re discussing what you need to know below. 

What Is a Roth Conversion?

A Roth conversion refers to the act of converting a traditional IRA account into a Roth IRA account. A traditional IRA account is created using pre-tax dollars, meaning the distributions you take from a traditional IRA account in retirement is taxable income. A Roth IRA is created using after-tax dollars, meaning the distributions you take from a Roth IRA account in retirement is tax-free (because tax has already been paid).  

Additionally, a Roth IRA can be an appealing option for some because it does not include a required minimum distribution age. This means that you can continue to save and grow tax-free dollars for the remainder of your life. 

Considerations to Make Before Doing a Roth Conversion

While a Roth conversion could be a great option for some, it could be a costly mistake for others. That’s why we’ve outlined four important considerations to make before converting your traditional IRA into a Roth account.

Consideration #1: Your Timeline to Retirement

If you’re retiring within the next few years, you may want to forego a Roth conversion. Why? Because the money you convert into a Roth IRA must stay there for a five-year holding period. If withdraws are made before the five years is up, you could be hit with a 10 percent penalty and/or additional income taxes. 

Consideration #2: Tax Obligations

When considering a Roth conversion, you simply can’t ignore the tax implications associated with this move. While your aim may be tax-free income in retirement, you will have to pay taxes on that income at some point. You need to be prepared to pay the taxes on this additional income, which could very well push you up into a higher tax bracket. While it’s possible to cover the difference using a portion of the distribution itself, this is typically not advised for two reasons: you’d be robbing your future retirement of income and you may be subject to a 10 percent penalty for taking the funds. 

Consideration #3: Your Future Tax Bracket

One of the main reasons an individual chooses to do a Roth conversion is for the advantage of tax-free withdrawals in retirement. With that in mind, you’ll want to take into consideration whether your tax bracket will be higher or lower in the future when you anticipate withdrawing the funds. If you believe you’ll be in a lower tax bracket come retirement, it may be worth waiting to withdraw the funds then. On the other hand, if you’ve experienced a year of interrupted or lowered income (lost a job, missed out on a bonus, etc.), you may be in a lower tax bracket now than you would when entering retirement.

Consideration #4: How Much to Convert and When

If you’re on the cusp of a higher tax bracket, but still want to do a Roth conversion, you do have the option to convert a portion at a time. By spreading the conversion across several years (as opposed to one lump sum), you can lower your yearly tax obligation. 

How to Make a Roth Conversion

The IRS offers three possible ways for an individual to convert funds from a traditional IRA into a Roth IRA account. These methods include: 

  • Rollover: You are given the funds and must put the funds into a Roth IRA account within 60 days. 
  • Trustee-to-trustee transfer: The institution currently housing your traditional IRA transfers the distribution to a different institution where it’ll be held in a Roth IRA. 
  • Same trustee transfer: The institution currently housing your traditional IRA is able to also house your Roth IRA, and they roll the account over for you.1

Being able to withdraw income tax-free in retirement is an appealing option for many. And it’s good to know that while you may have chosen to open a traditional IRA years ago that you have the option to convert it at any time. Before making any moves to your retirement savings account, make sure to speak with your financial advisor first. Non Profit Refugee Assistance Alliance Continues Partnership with Miami Artist Adriana Jay

MIAMI, FL – The thousands of refugees that arrive to South Florida every month find themselves in a new environment where they don’t speak or understand the language and culture. They are pulled between two worlds — the beloved homeland they left behind and their new home. Refugees today are often subject to political whims that can place them in precarious situations and threaten their future.

 

The Refugee Assistance Alliance (RAA) was founded in 2017 by Kristen Bloom to support underserved refugee populations in South Florida by providing services such as in-home tutoring, cultural programming and special activities. The non-profit organization has gotten creative with raising the funds needed to operate. Their movie screenings and dining experiences are popular and in 2019, they began a partnership with Artist Adriana Jaramillo, who goes by Adriana Jay, for online art auctions.

“I was completely blown away.” Said Adriana Jay about attending the dinner hosted by RAA that prompted her to get more involved. Adriana Jay is known for her paintings of women traveling the world. The online auction kicked off June 24th 2020 and will run through August 24th 2020.

 

Three paintings are up for auction. All original works of art, that come with Certificates of Authenticity signed by the artist. Adriana Jay has garnished attention from local media and her works are expected to increase in value over time. All profits from the sale of the paintings will be donated directly to the RAA to support refugee families and promote peace and understanding among the people of South Florida.

 

“We all can relate to each other on some level, we’ve all had to start over, face our vulnerabilities, been challenged in different ways and when we bring people together it’s really special.” Said Bloom about the work the RAA does in an Instagam video conversation with Adriana Jay.

Singapore-born football TV presenter Ash Hashim makes it to the global stage

TV personality, entrepreneur, and Singapore’s first female football agent, Ash Hashim, has come a long way since her editorial days as a sports journalist at a newspaper.

The football presenter who founded the brand and blog ‘Futbolita’ (“The Female Football Voice”) in 2010, said in a recent interview with SPH radio’s “Much Ado about Sports” podcast that she owes her success to never taking “no” for an answer.

The FIFA-licensed agent, who shared that she was once asked if she was in the “wrong room” when she took the exam, said: “I really wanted to make a difference in football, and nobody could change my mind.”

Now a global conference speaker who has spoken at the Dubai International Sports Conference and Globe Soccer Awards in November, Ash led a panel of women footballers which included England women’s football star Lucy Bronze, France captain Amandine Henry.

The conference was also attended by Cristiano Ronaldo, Fabio Capello, Romelo Lukaku, and French World Cup Winner Didier Deschamps.

Speaking to the podcast, Ash said that being at the global conference was a huge moment for her, after her career as an agent and presenter.

“It was one of the highlights of my career, if not my entire life,” she said in the podcast interview. “I couldn’t believe I was there alongside names like Cristiano Ronaldo, Perluigi Collina, Jorge Mendes, Simeone Inzaghi, big names in the game. It was a dream come true for someone like me who came from a small country in Asia, speaking alongside them, and networking alongside them. The Dubai Sports Council was amazingly professional and insightful, it was great to be a part of it.”

Her panel, which was called “Empowering women in football”, focused on the challenges and hopes for women in football, particularly in a region that is picking up its growth towards women in the game.

Ash, who founded Futbolita, a website and digital brand, said it was important to note that 2019 was a turning point for women in the game. She said: “For players like Lucy Bronze and Amandine Henry, what they’ve done for their national teams and women’s football is amazing. They know their responsibility towards all the girls who are looking up to them. They know they are role models, and they definitely inspire many out there, especially girls in Asia.”

The Singapore-born TV presenter now works with brands, associations, and leagues across Asia and the world, with her relationships spanning from LaLiga, Bundesliga, PSG, and more.

Her recent projects in Malaysia also saw her working with Super League club, Selangor FA, for their Eid celebrations. In Singapore, she frequently presents matchday shows for the Singapore Premier League, the country’s top professional league, on Singtel TV.

Ash was recently involved with another global conference – the World Football Summit – powered by Ronaldo, where she moderated a panel on fan engagement in Asia.

“I love football, on every level, from grassroots to professional football. You can ask anyone who works in this industry why they do what they do, and they’ll tell you it is the special matchday feeling,” she said in another interview with ActiveSG Singapore Facebook page. “It’s what I had dreamt of as a young girl.”

However, with the recent pandemic affecting all industries, Ash added that it was important to continuously grow and adapt to the times.

She said: “We’re living in uncertain times – in football and generally. Fans may not be able to go back to stadiums anytime soon, and brands are continuously having to invent themselves. But I think it’s important to take note of how far we have come, and what we need to do to improve ourselves. Stay positive, hopefully we can enjoy football as it’s meant to be.”
