COVID-19: Are Your Business Losses Covered by Insurance?

In the wake of COVID-19, a new economic climate has emerged. Life’s been put on pause, and so has normality for businesses across America. Covering Your Losses: Business Interruption Coverage

If you’ve lost revenue from the pandemic, you’ll want to focus on business interruption insurance. First and foremost, acquire a comprehensive copy of your insurance policy; your policy may or may not cover business interruption losses, and even then, the details widely differ. 

What Is Business Interruption Insurance? 

General business interruption insurance is an add-on to property insurance, covering losses if a business is unable to use its insured property normally. This coverage is triggered by a “cause of loss,” which should be described in your insurance policy. Typically, this cause of loss must be direct physical damage to your property – such as fire or water damage.3 There are also various subtypes of business interruption insurance that you should look for: 

  • Business income coverage: This covers a consistent loss of income as a result of business closure. 
  • Contingent business interruption coverage: This is the same premise as business interruption coverage, but applied to your entire supply chain. For instance, if your supplier’s institution closes due to damage, you would qualify for contingent coverage. 
  • Civil authority coverage: This covers losses caused by forced business closure by civil authority. In this case, this is most applicable to state legislatures closing non-essential businesses. This policy also usually requires some form of physical damage.4

Does Business Interruption Insurance Cover COVID-19 Losses? 

Unfortunately, many insurers are hesitant to apply business interruption coverage to coronavirus-related losses. These rejections occur on the grounds that a pandemic is not considered “physical damage,” and some insurers even explicitly exclude virus outbreaks in their policies. 

Still, this doesn’t mean that you shouldn’t file a claim. Some state legislatures have introduced bills that would require insurers to pay business interruption claims related to COVID-19, even if there are virus exclusions.5 See what your insurance policy qualifies as cause of loss, check local legislation and talk to your insurer. 

Policies That Protect You From More Losses 

It’s unlikely that being sued for liability will be a large concern for most small businesses, considering the difficulty of tracking virus contraction. Still, liability lawsuits are a legitimate fear. Liability insurance shields businesses from these potential losses. 

The Importance of Liability Insurance

Commercial general liability insurance protects businesses from losses responding to injury or endangerment. Regarding COVID-19, this could manifest in lawsuits accusing employers of not taking enough precautions or exposing employees to the virus. 

Nonetheless, be aware that not all liability policies include virus outbreaks. Clauses including outbreaks are most commonly seen in the events and hospitality industry, where they’re most likely to occur. Less applicable, although still worthwhile to note, is professional liability insurance – this prevents losses from accusations of malpractice or negligence.6

4 Areas of Your Estate Plan to Review in Light of COVID-19

Although COVID-19 related restrictions are beginning to ease, many people continue to help slow the spread by staying home and self-isolating. There are still unknowns related to the pandemic and how it will play out, undoubtedly keeping us all on edge. Over the past few months, we’ve been forced to face fears of falling ill, losing a job, spending time alone, etc. With these anxieties weighing on your mind, it may feel as though there’s a sudden need to get your affairs in order, just in case. 

It never hurts to be prepared in the event that, for instance, you may need to be hospitalized for coronavirus or any other sickness. Thinking about falling ill or not being able to make decisions for yourself can be frightening, but having an estate plan in place can help ease your concerns. 

Many people are taking this time at home to update their estate plans, and if you don’t have one in place, there’s no better time to put it together. 

Estate Plan Documents That Should Be Reviewed & Updated If Neccessary

Individuals over the age of 18 should have some level of estate planning in place. You may be surprised to learn that wills and trusts aren’t the only documents to prioritize. A strong estate plan will include several important documents, such as a living trust, financial powers of attorney, health care powers of attorney and more.1 

In light of the current pandemic, two of the most important documents to have up-to-date and on-hand are your medical and financial powers of attorney. For instance, if you’re quarantined in your home, admitted to the hospital or become incapacitated, you’ll need someone to handle your finances or make medical decisions on your behalf. With those in place, it’s a good idea to continue organizing a comprehensive estate plan that includes the following documents. 

1. Power of Attorney and Health Care Proxy

A financial power of attorney grants authority to carry on a person’s financial affairs and protect their property by acting on their behalf. This includes the ability to write checks, pay bills, make deposits, purchase or sell assets or sign any tax returns.1 

Similarly, a health care power of attorney grants the authority to make health care decisions on your behalf should you become incompetent or incapacitated. If you are over the age of 18 and do not have a health care power of attorney in place, your family members will need to request that the court appoint a guardian to take on these responsibilities.1 

Ensuring that you have named trustworthy and reliable individuals as your powers of attorney is key as you update your estate plan. If your current documents are outdated, implementing new ones should be on the top of your list.

2. Your Will

A last will and testament is a legal document that allows you to direct distributions of your property at the time of your death. A will also allows you to appoint an executor who oversees the distribution of your assets.2 This person will attend to your affairs after you pass, probate your will if necessary and file income and estate tax returns on your behalf. If you have children who are minors, you should also name a guardian for them in the will. 

Everyone has assets that must transfer after a person’s death, and without a will, there is no direction as to how and to whom those assets will pass. Distribution of your assets will be handled by the state and the court will decide on the best person to oversee the administration. This is similar to an appointed guardian in that if you don’t appoint one, a court will decide on the best person to fulfill this role.2

3. Living Trust

In general, your trust benefits you while you are alive and may also be beneficial to others, such as your spouse or children. Identifying who will receive assets upon your death may be a detail that needs updating based on your lifestyle and changes that have taken place. Additionally, you’ll want to outline whether your beneficiaries receive your assets outright or perhaps you’ll want to provide them with an income stream instead. If your beneficiaries are young, you may want to consider holding assets for them in a trust until they are old and responsible enough to handle finances themselves. 

Appointing a trustee will identify who will step in to manage your affairs without the involvement of the court, avoiding extra time and money associated with probate.3 A trust also affords you privacy regarding the details of your estate since it eliminates the need for probate, which is a public process. 

4. Beneficiaries 

Another important update you should make to your estate plan is to review beneficiary designations on your life insurance policies, retirement accounts, etc.2 Keep in mind that if you have a joint asset such as a bank account, that will pass to the surviving joint owner. Be sure to name someone you trust to act in your best interest should the time come for them to be responsible for your assets. 

Due to stay-at-home orders and social distancing practices, it may be more difficult to meet with your attorney or notary in-person to prepare or update your documents. There are template websites online that allow you to create documents from scratch, and some states have even suspended various statutes to let people appear before a notary public via videoconference.4 While some documents can be finalized virtually, wills need to be signed in front of witnesses, which means this step to finalizing your documents may need to be done in person. 

While you have the time, you should start reviewing your estate plan and making any adjustments with the appropriate professionals as needed. Making necessary and important changes now will likely benefit you and your family in the future.

PPP Loans: We Answer Your Questions

The Paycheck Protection Program, part of the CARES Act, grants loans to businesses under generous terms. Even better, the government will forgive your loan if you meet certain conditions.

Keep in mind, however, that regulations and future adjustments can tweak certain provisions and that there are more details that a qualified professional can help you interpret.

I heard that the PPP loans had run out of money—has Congress replenished it?

Yes. A new $480 billion package contains over $300 billion to revive the popular Paycheck Protection Program. This amount includes $60 billion earmarked for smaller lending institutions, to better serve small companies that have had trouble getting loans.

The Economic Injury Disaster Loan program received another $60 billion. Separate from the PPP, this loan advance program provides up to $10,000 of economic relief to businesses that are currently experiencing temporary difficulties. Businesses can be eligible for either program or both, but they have to be carefully coordinated.

The PPP loans are for small businesses. How do I know if mine is considered small?

You have to be a business or charity with fewer than 500 employees. However, some businesses with more employees may still qualify. For example, in the restaurant and hospitality industries, the 500-employee cap is waived as long as there are no more than 500 employees at any one physical location. The SBA goes into further detail, noting that even businesses with 500+ employees qualify as long as they satisfy the existing statutory and regulatory definition of a “small business concern” under Section 3 of the Small Business Act, 15 U.S.C. 632. Official guidance lists a full range of exceptions.

The CARES Act excludes from the definition of payroll costs any employee compensation in excess of an annual salary of $100,000. Does that include benefits?

No. This refers only to cash compensation. You do not have to count any of the following toward the $100,000 ceiling: contributions to retirement plans, insurance premiums to group health plans, or state and local payroll taxes the business has to remit.

Are we eligible even though we’re a seasonal business?

Yes. A lender may consider whether a seasonal borrower was in operation on February 15, 2020, or for an 8-week period between February 15, 2019, and June 30, 2019.

We work through a PEO. Are we still eligible?

Yes. Payroll documentation provided by the payroll provider that indicates the amount of wages and payroll taxes reported to the IRS by the payroll provider for the borrower’s employees will be considered acceptable PPP loan payroll documentation. For purposes of the PPP, employees of the eligible borrower will not be considered employees of the eligible borrower’s payroll provider or PEO.

We make payments to independent contractors and sole proprietors. Are these payments included in calculations of our payroll costs?

No. Those payments are not considered payroll. However, the independent contractors or sole proprietors may themselves be eligible for their own PPP loans.

Do companies have to apply for the loan in person?

No. Major banks like Bank of America and Chase, for example, have created an online process.

Can my loan be forgiven?

Yes. To turn the loan into a grant, you must spend at least 75% as payroll. You are allowed to use PPP loan proceeds for various other expenses, but that portion of the loan will not be forgiven. (As long as you meet the 75% floor, however, the entire loan will be forgiven.) If the full amount is forgiven, you owe no interest. Any unforgiven portion will accrue interest at an annual 1% rate and mature in 2 years with a 6-month deferment.

It’s also essential to keep an eye on your staffing to be eligible for forgiveness: Your loan forgiveness will be reduced if (1) you decrease your full-time employee headcount or (2) you decrease salaries and wages by more than 25% for any employee who made less than $100,000 annualized in 2019. You have until June 30, 2020, to restore your full-time employment and salary levels for any changes made between February 15, 2020, and April 26, 2020.

Are there implications to both employer and employee if the company, thanks to a PPP loan, wants to rehire a laid-off employee?

Yes. Everyone has to play this one carefully, thanks to recent guidance from the SBA. An employer may want to rehire a laid-off employee to keep their numbers up and thus take advantage of the loan forgiveness provision. But the employee, thanks to temporarily boosted unemployment benefits, may actually be earning even more by not working, at least for a while, and may refuse to come back. However, if the company has made a bona fide written offer to the employee to come back at the same wages for the same hours, and the employee has refused, the company can exclude that employee from its employment calculations—it will not be penalized. But any employees who turn down such an offer may make themselves ineligible for continued benefits.

Is the SBA making it easier for small borrowers to prove the necessity of their loan requests?

Yes. When submitting a PPP application, all borrowers must certify in good faith that “[c]urrent economic uncertainty makes this loan request necessary to support the ongoing operations of the Applicant.” SBA, in consultation with the Department of the Treasury, has determined that the following safe harbor will apply to SBA’s review of PPP loans with respect to this issue: Any borrower that, together with its affiliates, received PPP loans with an original principal amount of less than $2 million will be deemed to have made the required certification concerning the necessity of the loan request in good faith.

CARES Act Adds Flexibility to Net Operating Losses

Revenue Procedure 2020-24 provides guidance to taxpayers with net operating losses that are carried back under the CARES Act by providing procedures for:

  • Waiving the carryback period in the case of a net operating loss arising in a taxable year beginning after Dec. 31, 2017, and before Jan. 1, 2021.
  • Disregarding certain amounts of foreign income subject to transition tax that would normally have been included as income during the five-year carryback period.
  • Waiving a carryback period, reducing a carryback period, or revoking an election to waive a carryback period for a taxable year that began before Jan. 1, 2018, and ended after Dec. 31, 2017.

In Notice 2020-26, the IRS grants a six-month extension to file Form 1045 or Form 1139, as applicable, with respect to the carryback of a net operating loss that arose in any taxable year that began during calendar year 2018 and ended on or before June 30, 2019. Individuals, trusts and estates would file Form 1045, and corporations would file Form 1139.

On April 8, 2020, the IRS issued Revenue Procedure 2020-23, allowing eligible partnerships to file amended partnership returns using Form 1065, U.S. Return of Partnership Income, by checking the “Amended Return” box and issuing amended Schedules K-1, Partner’s Share of Income, Deductions, Credits, to each of its partners. Partnerships filing these amended returns should write “Filed Pursuant to Rev Proc 2020-23” at the top of the amended return.
